Terms for using Nylio.

By accessing or using Nylio, you agree to these Terms of Service. If you use Nylio on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, do not use the service.

Nylio provides collaborative document editing, version history, commenting, sharing, workspace management, AI-assisted writing and research, file uploads, imports, exports, and related functionality. Features may change over time and may differ by plan, region, or product configuration.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree to:

• Provide accurate information and keep it reasonably up to date.
• Use the service only in compliance with applicable law and these Terms.
• Promptly notify us if you believe your account has been compromised.
• Ensure that people you invite or add to a workspace have appropriate authorization to access the content you share with them.

You retain ownership of content you submit to Nylio, including documents, prompts, comments, uploads, and imported files, except to the extent ownership belongs to someone else.

You grant us a non-exclusive, worldwide, limited license to host, store, reproduce, process, adapt, transmit, and display your content only as needed to operate, secure, maintain, and improve the service and to provide features you request.

You represent that you have all rights and permissions needed to submit content to Nylio and to allow us to process it under these Terms.

Nylio includes AI-powered features that may generate edits, summaries, research results, suggestions, and other outputs. Those outputs may be incorrect, incomplete, outdated, offensive, or unsuitable for your use case.

You are responsible for reviewing AI outputs before relying on them. You must not treat AI output as professional advice or as a substitute for human review where accuracy matters.

To provide AI features, we may send prompts, content, and related context to third-party providers. By using those features, you authorize that processing as described in our Privacy Policy.

Nylio allows you to share documents and workspaces with selected collaborators and, in some cases, through share links.

Share links are intended to make content accessible to anyone who has the link, subject to the permissions attached to that link. You are responsible for deciding when to create, distribute, or revoke share links and for understanding that recipients may further distribute them.

You may not use Nylio to:

• Violate law or infringe the rights of others.
• Upload or distribute malware, harmful code, or deceptive content.
• Attempt unauthorized access to accounts, data, systems, or networks.
• Interfere with the service, evade limits, or abuse APIs, uploads, or sharing features.
• Submit content or prompts that you are not authorized to use, including confidential or personal data you have no right to disclose.
• Use the service to build a competing product through systematic extraction, scraping, or model training abuse, except where applicable law clearly prohibits such a restriction.

Some features require a paid subscription or usage-based credits. Prices, limits, and plan features may be presented inside the product or on our pricing page.

If you buy a paid plan, you authorize our payment and billing providers to charge the applicable fees, taxes, and recurring subscription charges until cancellation.

Unless required by law, fees are non-refundable once paid. You may cancel future renewals at any time, and your access to paid features will continue until the end of the current billing period unless otherwise stated.

We may offer preview, beta, or experimental features. Those features may be incomplete, unstable, or changed or removed at any time without notice. We provide them on an "as is" basis.

We may suspend or terminate access to Nylio if we reasonably believe you violated these Terms, created risk for other users, exposed us to legal liability, or used the service abusively.

You may stop using the service at any time. Certain provisions of these Terms will survive termination, including provisions relating to ownership, disclaimers, limitations of liability, and dispute-related terms to the extent applicable.

Nylio is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and uninterrupted or error-free operation.

We do not warrant that the service will always be secure, available, accurate, or free of harmful components, or that any content or AI output will be complete or reliable.

To the maximum extent permitted by law, Nylio and its operators, affiliates, service providers, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or business opportunities arising from or related to your use of the service.

To the maximum extent permitted by law, our total liability for all claims arising out of or relating to the service will not exceed the greater of the amount you paid us for the service in the 12 months before the event giving rise to the claim or fifty U.S. dollars (USD $50).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

To the extent permitted by law, you will defend, indemnify, and hold harmless Nylio and its operators from claims, liabilities, damages, losses, and expenses arising out of your content, your use of the service, or your violation of these Terms or applicable law.

We may change, suspend, or discontinue all or part of Nylio at any time. We may also update these Terms from time to time.

If we make material changes, we may provide notice through the service, by email, or by updating the effective date above. By continuing to use Nylio after updated Terms take effect, you agree to the revised Terms.
